GENERAL TERMS AND CONDITIONS
1. THE FOLLOWING OUTLINES THE TERMS AND CONDITIONS OF THIS AGREEMENT:
• Skagit Home Repairs LLC (referred to hereinafter as "Contractor") is the entity responsible for executing the specified service. The term 'Services' refers to the specific tasks outlined in this agreement that are to be performed by the Contractor. The term "Client" designates the individual or business entity requesting the services from the Contractor and is accountable for payment. Should the Client be acting on behalf of another party, the Client affirms that they are authorized to make such requests and direct the work on behalf of the party they represent. Unless explicitly stated otherwise in writing, the Client bears full responsibility for ensuring that the ordered services meet their intended requirements. In executing the Services, the Contractor may rely on the input from third parties, the Client's statements, and public records and is not required to verify these elements. Any request for additional services or materials beyond the original scope will be considered as acceptance of these General Terms and Conditions for those extra services and/or materials.
2. This agreement should only be accepted and signed by the owner or authorized personnel responsible for making changes or improvements to the property.
•Customer Representations
The Customer(s) represent and warrant that:
(a) This Agreement may only be signed by the property owner(s) or authorized personnel responsible for making decisions regarding changes or improvements to the property. By signing, the signer represents and warrants that they are either the legal owner(s) of the property or have been authorized to act on behalf of the owner(s) for the purposes of this Agreement.
(b) They will grant the Contractor reasonable access to the property, including access to electrical outlets and a tap water supply, as needed for the Contractor's use while doing the project, with the understanding that the cost of electricity and water will be at the Customer's expense; and
(c) They are responsible for preparing, protecting, moving, and reinstalling any items necessary to facilitate the Contractor's work under this Agreement.
3. WORK SCHEDULING:
• After the client accepts this agreement, Skagit Home Repairs LLC will communicate with the client regarding how far away we are from reaching their project or provide the starting date.
• If the Contractor must delay the start of the Work, or if interruptions occur during the Work due to changes in the scope of work requested by the Client, third-party requirements, strikes, accidents, or other factors beyond the Contractor's control, additional charges may apply, and the estimated completion date will be extended to reflect the delay. The Contractor will not be responsible for any damages resulting from such delays.
4. PROPERTY ACCESS PERMISSION:
• The Client agrees to grant the Contractor and/or their authorized representatives the necessary access and permissions required to carry out the services.
5 Building Permits:
The Client is responsible for obtaining and providing any necessary permits required for the project prior to the start date. The Contractor is not responsible for delays, fines, or additional costs resulting from the absence of permits. The project cannot begin until all required permits have been obtained and provided to the Contractor.
6. All agreements depend on circumstances such as accidents or delays that are beyond our control. Our employees are covered by Workers' Compensation Insurance. We reserve the right to withdraw this proposal at any time.
7. FOR ROOF REPLACEMENTS:
• Any existing vent caps will be replaced. The ducting between exhaust fans to vent caps may be inadequate. Other ventilation components, aside from the installed attic vents or ridge vent, may also be inadequate. Skagit Home Repairs LLC does not provide a warranty for the overall performance of the ventilation system. Our warranty does not cover issues related to moisture and condensation; it is limited to repairing workmanship problems only. We advise regular inspections of attic spaces to monitor for moisture issues.
• If you have a roof-mounted satellite dish, it may need to be removed during the installation. Re-mounting and recalibration of the dish may be necessary and are not included in the scope of this agreement.
7.1 Unforeseen Conditions:
• This estimate is based on a visual inspection only. If we uncover hidden damage during the work, we will notify you and provide a separate estimate for those repairs via change order.
• Skagit Home Repairs LLC is not responsible for hidden damage, unforeseen conditions, manufacturer failures, or damage caused by existing structural issues. Warranties, if any, will be provided in writing.
•Unless stated otherwise in writing, the agreed-upon price assumes that all structural elements and components are in good condition. If the contractor encounters any issues or conditions that were not visible or known at the time of the agreement, the client understands that such conditions—such as existing rot or structural damage—may be uncovered during the project. Any such repairs will be quoted and billed separately via change order.
•The client agrees to pay additional compensation to the contractor based on standard rates for addressing unforeseen issues. This also applies when digging and discovering unexpected objects such as boulders, large roots, construction footings, irrigation pipes, stumps, etc.
7.2 Work Outside Scope of Services:
•If any electrical or plumbing work is required, or if antenna adjustments or recalibrations are necessary due to work being performed nearby (such as on a roof), the client shall be responsible for hiring the appropriate licensed professional at their own expense.
8. Changes:
• Any changes or deviations from the outlined scope of work that incur additional costs will result in charges exceeding the initial estimate.
• The Client acknowledges that the Contractor may replace the specified materials with equivalent or higher-quality alternatives if the originally listed materials become unavailable. The Contractor may make such substitutions without needing to notify or obtain consent from the Client.
9. If a task or any additional work is not described in the scope of work in this agreement, it will not be performed without a prior written agreement with the Client regarding the cost.
10. WARRANTIES:
New Roof Replacement workmanship Warranty: Skagit Home Repairs LLC provides a 10-year workmanship warranty, from the date of project completion.
10.1 Roof or Siding Repairs:
•No workmanship warranty is provided for roof or siding repairs. Any pre-existing or future damage can be repaired at an additional cost.
•The client should monitor the area during rain, snow, and ice melt to check for any leaks. Prompt reporting is recommended to prevent further damage.
10.2 Other Services Workmanship Warranty: Skagit Home Repairs LLC provides a 6-month (183 days) workmanship warranty from the date of project completion.
10.3 The services will be carried out in compliance with this agreement, The quality of workmanship is guaranteed as outlined above. The only warranty applicable to the product described in this contract is the manufacturer's warranty,No additional warranties will be provided. THE WARRANTIES AND REMEDIES PROVIDED HEREIN ARE EXCLUSIVE AND REPLACE ALL OTHER WARRANTIES, REMEDIES, GUARANTEES, AND LIABILITIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. ALL WARRANTIES BECOME VOID IF FULL PAYMENT TO THE CONTRACTOR IS NOT MADE, OR IF ANY UNAUTHORIZED SERVICE, MODIFICATIONS, OR ADJUSTMENTS ARE PERFORMED ON THE WORK.
• Proof of purchase and a copy of this agreement must be provided when making a warranty claim.
• All warranty claims must be reported within the warranty period.
• Neglected issues that are not promptly reported and result in further damage will not be covered under this warranty.
10.4 Material Warranty:
•Unless specifically stated in writing, Skagit Home Repairs LLC does not provide any warranty on materials. Any material warranties are solely those offered by the manufacturer. All work will be completed in a workmanlike manner according to standard industry practices. Any alterations or deviations from the agreed-upon scope that result in additional costs will be billed accordingly. Labor for changes will be charged per man-hour plus materials, or a revised total may be provided at that time.
10.5 Client-Supplied Materials – No Warranty
If the Client elects to supply any materials, products, or chemicals to be used in connection with the Services, including but not limited to roof moss treatments, cleaning agents, paints, sealants, or other surface treatment products, the Contractor makes no warranty of any kind, express or implied, regarding the performance, durability, safety, suitability, or effectiveness of such Client-supplied materials. The Contractor shall not be held responsible for any failure, defect, damage, or unsatisfactory result arising from the use of Client-supplied materials. The Client assumes all risks associated with the selection, quality, and performance of such materials, and agrees that the Contractor’s warranty obligations, if any, shall apply only to materials furnished directly by the Contractor.
11. Payments:
• We accept personal and cashier’s checks. Financing options are available, and bank cards are accepted with a 3.5% service fee, Financing has to be pre-approved before the project can be scheduled or before Skagit Home Repairs LLC can acquire any materials.
• The total balance amount for this invoice must be paid upon completion of the job. (This agreement has an estimated tax only. At the time of invoicing, the current tax rate will be verified and added to the client's invoice).
12. Late Payment Fees:
• If an invoice remains unpaid for more than thirty (30) days, a monthly service charge of one and one-half percent (1.5%), which equates to an annual rate of up to eighteen percent (18%), will be applied to overdue accounts.
• Prompt payment of all amounts due under this agreement is a condition of the contract. Failure to make full payments within the specified time frame will be deemed a significant breach of the agreement's terms and may lead to termination of the agreement at the Contractor's discretion.
• Any late payments will result in the suspension of future services until the account is brought up to date.
•The client or their authorized representative signing this agreement accepts full responsibility for payment of this invoice. If payment is more than 90 days past due, Skagit Home Repairs LLC reserves the right to refer the account to a collection agency. In the event that the account is turned over for collection, the client will be responsible for all costs incurred in the collection process, including but not limited to reasonable attorney fees, service fees, investigation, service fees, and other related expenses.
• If the Contractor files a lien or initiates a lawsuit to recover any amounts due under this agreement, the Client agrees to cover reasonable attorney’s fees, along with all associated costs and expenses incurred by the Contractor in relation to the lien or legal action.
13. Notice to Client:
• As required by Washington State law (RCW 18.17.114(1)), the following information is provided when the job cost exceeds $1,000.00. Skagit Home Repairs LLC is registered with the State of Washington under registration number SKAGIHR811B4 as a general contractor and has posted a $30,000.00 bond with the State. This bond is intended to cover claims related to negligent or improper work, or breaches of contract. However, it may not be sufficient to cover all potential claims arising from the work performed under this contract. If any material supplier, employee, or subcontractor is not paid, a lien may be placed on your property to enforce payment. For further information, please contact the Washington State Department of Labor and Industries.
14. LIMITATION OF LIABILITY:
• The Contractor will not be held responsible for any damages resulting from events such as fire, flood, strikes, actions by third parties, natural disasters, acts of terrorism, or any other situations beyond the Contractor’s control.
• The Contractor’s liability for any damages arising from breach of warranty, contract, errors, omissions, negligence, or any other tort is limited to the total amount paid to the Contractor under this agreement. The Contractor will not be liable for any special, indirect, or consequential damages under any circumstances.
• If the Client wishes to make a claim against the Contractor, written notice of the claim must be provided to the Contractor within seven days from when the Client or their agents first become aware of the claim, or the claim will be barred. Any claims arising from or related to this contract must be filed within one year from when the cause of action arose, or they will be barred by the statute of limitations.
• Correction of Work & Limitation of Liability:
Skagit Home Repairs LLC will be given a reasonable amount of time to correct any errors, defects, or issues related to the work performed. The client agrees to notify Skagit Home Repairs LLC in writing of any concerns before seeking outside remedies, including legal action. Skagit Home Repairs LLC shall not be liable for incidental, consequential, or indirect damages resulting from any errors, and the company’s obligation shall be limited to correcting the work as necessary.
• Under no circumstances will any employee, shareholder, officer, or agent of the Contractor be personally liable to the Client. If a judgment is entered against any such individual, the Client agrees to seek satisfaction solely from the assets of the Contractor.
15. INSURANCE:
• The Contractor will maintain Workers’ Compensation for employees and Liability Insurance for the work described. The Client is responsible for maintaining fire, builder’s risk, and other necessary insurance coverage.
16. SEVERABILITY:
• If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will continue to be in full force and effect and will remain binding on the parties involved.
17. APPLICABLE LAW:
• If the Client is not considered a consumer under the Fair Debt Collection Practices Act, any claims related to this agreement must be brought in the courts of Skagit County, Washington. This agreement will be governed by and interpreted in accordance with the laws of the State of Washington.
18. DISCLAIMERS:
• MOLD DISCLAIMER, This contract and any associated warranties do not cover Bacteria, mold abatement, removal, or cleaning of mold, mildew, spores, fungi, pathogens or other mycotoxins. The Client acknowledges and agrees to waive any claims or warranties related to the presence or development of these substances.
•LEAD BASED PAINT DISCLAIMER, This contract and any associated warranties do not cover LEAD BASED PAINT, removal, or cleaning. The Client acknowledges and agrees to waive any claims or warranties related to the presence of these substances.
•ASBESTOS DISCLAIMER, This contract and any associated warranties do not cover ASBESTOS, removal, or cleaning. The Client acknowledges and agrees to waive any claims or warranties related to the presence of these substances.
•Unpermitted Structures:
The Contractor is not responsible for identifying, reporting, or correcting any unpermitted structures on the property. If, during the course of the project, a city or county inspector discovers an unpermitted structure (such as but not limited to garages, additions, or sheds), any required permits, modifications, fines, or penalties shall be the sole responsibility of the Property Owner.
In the event that an unpermitted structure causes a delay, stop work order, or additional inspection requirements that impact the Contractor’s work schedule, the Property Owner agrees to compensate the Contractor for any additional costs incurred, including but not limited to labor, material storage, or rescheduling fees.
The Contractor reserves the right to pause or terminate the project if an unpermitted structure results in legal or regulatory complications beyond the Contractor’s control. No refunds will be issued for work already completed.
19. Authorization for Photography and Video Recording:
• The Client hereby authorizes Skagit Home Repairs LLC and its representatives to take photographs and video footage of their property located at the address listed above before and after the service visit. The images and videos will be used for the purposes of showcasing the quality of work, maintaining accurate records, and any promotional activities related to Skagit Home Repairs LLC, including but not limited to social media platforms. Client understands that the photographs and video footage may include images of my property and its surroundings, and that Skagit Home Repairs LLC will take reasonable steps to ensure the privacy and security of the recorded media.
20. ENGAGEMENT TERMINATION
Termination for Breach:
•If either party fails to fulfill their obligations under this Agreement in a timely and appropriate manner, the non-breaching party may terminate the Agreement with written notice. Upon termination, the Client agrees to compensate the Contractor for the portion of the project completed to date, including labor performed and any materials purchased, delivered, or specially ordered prior to the termination date.Client-Initiated Cancellation:
•If the Client cancels the project, the Client agrees to compensate the Contractor for the portion of work completed and any costs incurred, including labor performed and materials purchased or committed prior to cancellation, as well as any supplier freight or restocking fees.
These payments represent fair compensation for the Contractor’s time, effort, and resources and are not considered a penalty. If the project has not started and no materials have been ordered, the Contractor will return any deposit and cancel the Agreement.
Contractor's Right to Cancel:
•The Contractor reserves the right to cancel this Agreement at any time if it is determined that performance is not feasible due to factors such as incorrect pricing, unforeseen structural defects, or other conditions related to the Customer's property. In such cases, the Contractor will provide written notice to the Customer and refund any payments made.
21. NOTICE OF CANCELLATION:
• You may cancel this transaction without penalty or obligation within three business days from the day that it was signed. To cancel text at 360-357-2557 or email at skagithomerepairs@gmail.com, a cancellation notice.
22. Material Price Adjustment:
This estimate includes both labor and materials. However, due to market fluctuations, material prices are subject to change. If the cost of materials increases by more than 5% from the date of this estimate to the time of purchase, the total price of this project will be adjusted accordingly to reflect the increased material costs. Clients will be notified of any such changes prior to proceeding.
23. HOA / Community Association Approval:
•The client, Homeowner is solely responsible for obtaining all required Homeowners Association (HOA) or community association approvals prior to the start of work. The contractor is not responsible for verifying HOA requirements, securing HOA approvals, or ensuring compliance with HOA rules, covenants, conditions, or restrictions (CC&Rs). Any fines, penalties, delays, rework, or additional costs resulting from lack of HOA approval or HOA requirements are the responsibility of the homeowner.
Match Disclaimer:
•The contractor is not responsible for matching existing products that are faded, weathered, discontinued, or otherwise unavailable. Any HOA-required changes or replacements beyond the approved scope of work are not included unless agreed to in writing.
•The contractor is not responsible for matching discontinued siding or HOA aesthetic requirements.
